1. Introduction

Welcome to Jiekang Medical. These Terms of Service ("Terms") govern your access to and use of our website and services, including the purchase of emergency medical equipment, OEM/ODM services, and related consultations. By accessing our website or placing an order, you agree to be bound by these Terms.

Jiekang Medical ("we," "us," or "our") is a manufacturer located in Zhangjiagang, Jiangsu, China, specializing in B2B supply of medical devices.

2. Business-to-Business (B2B) Only

Our services are strictly designed for commercial entities, including but not limited to hospitals, distributors, government agencies, and rescue organizations.

• We do not engage in B2C retail sales to individual consumers for personal use.
• Minimum Order Quantities (MOQ) apply to most products and custom manufacturing orders.
• We reserve the right to verify your business status before accepting orders or providing quotations.

3. Orders, Quotations, and Contracts

Quotations: All price quotations are valid for 30 days unless otherwise stated, subject to currency exchange rate fluctuations and raw material costs.

Order Acceptance: A binding contract is formed only when we issue a formal Proforma Invoice (PI) or Sales Contract and receive the agreed deposit payment.

OEM/ODM Orders: For custom manufacturing, detailed technical specifications must be confirmed in writing before production begins.

4. Quality Assurance & Warranty

We take pride in our manufacturing quality. Our warranty policy is designed to protect our B2B partners:

  1-Year Warranty: All finished products (stretchers, spine boards, etc.) come with a standard one-year warranty from the date of shipment.

  100% Compensation: If any verified quality issue occurs due to manufacturing defects, we provide 100% compensation or replacement.
• ✓
  Quality Agreement: We are willing to sign formal Quality Assurance Agreements (QAA) to legally protect your interests.

5. Confidentiality & Intellectual Property

Client Data Protection: We guarantee strict confidentiality for all customer files, samples, logos, designs, and business documents. We never disclose client information to third parties without consent.

Intellectual Property:

• For OEM/ODM projects, the client retains rights to their specific proprietary designs.
• Jiekang Medical retains ownership of our standard product designs, tooling, and general manufacturing processes.
• Clients must ensure that any designs provided to us for manufacturing do not infringe upon third-party intellectual property rights.

6. Shipping & Delivery

Incoterms: Unless otherwise agreed, standard terms are FOB (Free On Board) Shanghai or EXW (Ex Works) Zhangjiagang. We can also arrange CIF or DDP upon request.

Lead Time: Estimated delivery dates are provided in good faith. While we strive to meet all deadlines, we are not liable for delays caused by force majeure, customs clearance, or logistics carrier issues.

Inspection: The buyer is responsible for inspecting goods upon receipt. Any claims regarding quantity or visible damage must be made within 7 business days of delivery.

7. Limitation of Liability

To the maximum extent permitted by law, Jiekang Medical shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption, arising out of the use or inability to use our products.

Our total liability for any claim arising out of or relating to our products shall not exceed the total amount paid by the buyer for the specific products giving rise to the claim.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms or sales contracts shall be subject to the exclusive jurisdiction of the courts in Zhangjiagang, Jiangsu Province.
